ACB - Structure and Current State 05/18

Well, their financials are becoming a phone book. And the breadth of their business topology is wide. I haven't been able to do it justice, but, in tandem with the last look - there is a picture emerging. I've been jammed past couple of days....
Straight to it:
Ok.
I’m going to wait for a couple of events before commenting further. There’s alot more to say, but, there’s a ton of contingencies in here on sales flow. Even more than other industry participants.
In the totality of this, they are lining up to a moment: it being when sales go live. Anything I’d say would be preemptive to some degree. There is a few things I can opine on though.
The numbers around this company - from share count to goodwill to subs/JV’s are bracing. I mean, an appropriate adjective for it eludes me at the moment. Only comparable would be CGC in terms of ‘wow’ factor here, but ACB is much simpler in several respects. Their risks centre around sales numbers, which will need to support a high nested cost of capital, and to realize the goodwill they’ve been accumulating faster than actual assets.
I’ll say their disclosure is very good, and frankly, a tip o’ the cap to accounting again (hi guys….<3).
I don’t know about aggregate quality of the balance sheet though. I’ve heard Cam say it’s strong, but perhaps he’s seeing it with earnings required to support it. I see a lot of earnings required to support this as is. If the balance sheet is strong anywhere, it’s in the legs required to hold it up.
Lots of promises of cashflow need to come to support it. Let alone share price.

Seriously, China's economic "miracle" is the most miraculous from when they lifted people out of poverty, but this ain't no miracle because if Mao didn't do communal farming and shit there wouldn't have been a poverty in the first place. This is common knowledge.
OK moving on, next, economic figures. Very good, but this is just like a kid who used to suck at class started to work hard and get to the top. Not uncommon. Just ask any nong on the streets, the majority of them have this kind of experience in primary school.
The true miracle starts in 2001!
2001, China joined the World Trade Union. The entire world opened to market all of a sudden. China facing a market so massive found it's own position and target: machining!
China has got a unique advantage in machining. First they have the numbers. Second they have the poors. Third they have nice guys(people easily bullied), last they have path leaders. What do I mean "path leaders"? Let's look at Asia's "4 dragons" of 2001, 2 out of 4 of the dragons are of Chinese heritage who are transitioning out of their machining trade phase, which leads to a lot of Hong Kong and Taiwan factory owners moving to China to continue their business, bringing in their entire operations to China, and thus, China takes off! In 10 years China has made it to be the "world's factory", where no other market can match China when it comes to machining! CCTV once made a program called "Made in Dongguan", in the program the reported pointed at a highway in Dongguan and said "If this road is jammed for 30 minutes, the entire world's computer price will inflate!" So proud, so arrogant, like they already control the fate of the entire world's economy! Citizens just need to grind hard, and they win! Simple? Yeah, it's that simple. This is called "won trick pony". The question is, why don't the others copy us?
They can't! Back in the days, our workers work continuous overtime, no social safety net, young work old fuck off. Our lands can simply be confiscated, our pollution can go unchecked, we can even use taxpayer's money to help business owners to export through forex manipulation and government subsidy. This is the advantage China has and only China has, you can't do that! This is the advantage professor Qinhui call "low human rights advantage"
That's the miracle. Other countries are also massive, are also poor(India), but they can't do what China can do, they can't find their position in their market, they can't grow their market! With this "won trick pony", China has made itself into the world's second largest economic region!
Of course, you can also argue that our class of 200 against your class of 20, of course we win everytime in terms of total school. But does that mean we have good score per capita?
But look at it this way. 66 years ago, this is a class who spend all day sleeping and now it is a class who are actually putting effort in learning, so you can't deny us of our effort, kay?
This is the miracle. At least compared with those Indian pigs, China has contributed far more than India to the world economy!

Today, Bitcoin is worth about $50 billion and has been accepted under the law and tax frameworks of Canada, Australia, and Japan. • Ethereum network (platform) and its own fuel ( coin) Ether has appreciated more than 2,800% since it was launched in 2015. • Underlying Blockchain technology is no more a hype, it is disrupting every industry through its secure public ledger • ICOs have raked in over 3.6 Billion Dollars, the largest ICO in 2017 has been Filecoin raising over 257 Million Dollars. This is the just beginning of the ICO revolution where IPOs and traditional stock exchanges are going to become a thing in the past.
Let’s admit it. We either have a tribe of people who love the whole concept of decentralized and autonomous Peer to Peer network completely secure and away from the control of the regulators and bureaucrats OR you still belong to the other tribe, you think Cryptocurrencies are dark alleys and ‘good’ people should stay away lurking in these areas. We respect views on either side and we would like to just attempt to demystify few basic practical concepts here that one should know if you are new to this so called “Crypto Tribe”.
EVOLUTION OF CRYPTO AND BITCOIN The first internet currency, known as DigiCash, was created by David Chaum and is said to have its origin from Netherlands. This was arguably the first attempt, but the idea failed and the company went bankrupt in 1998. Keeping up with the trend PayPal ( one of the global leaders in Payments Industry) was next to follow-up and became highly successful, but did not create an actual cryptocurrency. So history was made when the first real cryptocurrency, Bitcoin, was invented by someone went by the pseudonym Satoshi Nakamoto in 2008 and went online in 2009. There has been several failed attempts to identify this person. This ground breaking and revolutionary makes it possible to take to replace central authorities, government, watchdogs bureaucrats and politicians with the decentralized blockchain, and take power away from Wall Street. Bitcoin has already broken its own records several times since it started. The chart below will obviously blow your mind if you have not tracked Bitcoin recently. In less than 8 years Bitcoin has given over 8000% return. From 0 to 8000 USD per coin. And ofcourse there are talks of the next bubble and market for Bitcoin crashing down anytime. Really? Let’s address them a bit later in this paper.
The legacy of crypto goes back to the days of World War II when cryptographic systems were devised to securely transmit messages between various parties. All has happened is the technology and evolution has progressed since with the advancement of Computer systems and underlying hardware and software. We hence now have a very powerful system on the network for anyone to harness.
WHAT IS BLOCKCHAIN? A blockchain is a continuously growing list of records, called blocks, which are linked and secured using cryptography. Each block typically contains a hash pointer as a link to a previous block, a timestamp and transaction data. By design, blockchains are inherently resistant to modification of the data. A blockchain can serve as "an open, distributed ledger that can record transactions between two parties efficiently and in a verifiable and permanent way not in citation given. For use as a distributed ledger, a blockchain is typically managed by a peer-to-peer network collectively adhering to a protocol for validating new blocks. Once recorded, the data in any given block cannot be altered retroactively without the alteration of all subsequent blocks, which requires collusion of the network majority. And that is the latest Wikipedia definition for you. However, in layman terms, what is the best way to explain it? Let’s think of a used-car for a purpose of illustration. The new buyer would like to ensure that the car is genuinely owned by the seller, that the car servicing history is fully up to date and any major issues has been picked up transparently in the car service history. In real world that may not be possible always. Let’s take another example. We go to our regular family doctor ( GP). Their computer has full history of our health records from illness, diagnosis, medicines and treatments. If we go to another city, it would be very important that the new doctor has full information as well. Sometimes things do not work that way. And this is where the power of Blockchain comes into play. Blockchain is like a decentralized and distributed computer or electronic database existing on multiple computers at the same time ( but not owned by any big company specifically atall). The database keeps growing continuously as new sets of key information, or ‘blocks’, are added to it. Each block contains a very important information - timestamp and a link to the previous block. These then actually form a chain, everyone in the network gets a copy of the whole database but the database is not managed by any particular body, person or corporation. Entire old block are preserved forever and new blocks are added to the ledger irreversibly, making it next to impossible to manipulate by faking documents, transactions and other information. And yes, hackers know this and they have no interest in this area as they cannot manipulate here. They will most likely to continue to pry on large private businesses and public sector for ransom not Blockchain for a very long time or may be forever! It is also worthwhile mentioning here that since Blockchain runs on a public network, there are concept of ‘mining’ and rewards to the ‘miners’. In simple terms, people are rewarded for allowing their computers to be used for harnessing the ‘processing power’ of Block execution. Every new transaction on a block ofcourse needs to be executed. Now that you have got a bit of history of the whole Cryptocurrency and Block chain technology mumbo-jumbo, you may be thinking what about another term ICO which everyone keeps talking at the Pub and every now and then on various websites and journals. What are ICO really? Let’s get that out of way as possible.
THE DAWN OF INITIAL COIN OFFERING ( aka ICO) You are probably already familiar with the traditional stock market and the concept of Initial Public Offering ( IPO), so we will not go too deep into it. But in a nutshell, until recently businesses have raised money from the public by listing their businesses on the famous stock exchanges. Ofcourse, it is not possible for Mr. John Smith from a little village selling his home made secret strawberry jam globally until he has deep pockets. Neither he can even dream of getting his business listed on a stock exchange to raise cash from public. Hence listing businesses and raising cash has remain the forte of the big and bold with the backing of Venture Capitalist firms, Private Equity firms and the Brokers. And ofcourse there has been the means of the “Angel Investor” who would give cash by taking significant equity stake in a business started by the entrepreneur with their blood and sweat. Then emerged the concept of “Crowd Funding”. Online project funding websites like kickstarter, crowdcube, seedrs emerged. They allowed entrepreneurs to request for funds from the public. But these methods have raised limited funds, grossly regulated by the local authorities and not everyone could raise money from here. So you may ask what IPOs and Crowdfunding has anything to do with Blockchain technology and ICOs? Well what if we say that there are investors out there who believe in the disruptive nature of Blockchain Technology and are also early adopters of cryptocurrency such as bitcoin. Then there is whole liberal aspect of the unregulated market which makes the whole world shift towards a very different perspective. Now an entrepreneur could actually raise money for building their business from very early stages ( sometimes from just a concept level) and accepting the money not in traditional currency ( aka Fiat currency) but Cryptocurrency. Financial Times: Trader transcripts: 'If you ain’t cheating, you ain’t trying'

They were known as the “Cartel” or the “Mafia” among their peers. The unsubtle nicknames were given to a group of traders who at one time worked for five of the six banks that reached settlements on Wednesday with regulators over allegations they rigged the foreign exchange markets.
Transcripts from chatrooms used by those traders and others as they attempted to manipulate forex benchmarks and engaged in misleading sales practices towards their clients were published as part of the settlements.
Below is a selection of the exchanges (including original punctuation) from the settlements between Barclays and the New York State Department of Financial Services and the UK’s Financial Conduct Authority:
● Membership of the chatroom used by the “Cartel” was by invitation only. The FT has previously named the members of the “Cartel” as Rohan Ramchandani, Citi’s European head of spot trading, and Richard Usher, who moved from RBS to become JPMorgan’s chief currency dealer in London, and Matt Gardiner, who was at Barclays before joining UBS.
One Barclays trader, Chris Ashton, was desperate to join the chatroom when he became the bank’s main euro trader in 2011. After discussions as to whether the trader “would add value”, he was invited to join for a one-month “trial” but was warned by Mr Ramchandani: “Mess this up and sleep with one eye open at night.” Mr Ashton passed his “trial” and remained in the chatroom until it was shut down at some point in 2012.
● Traders used various strategies to try to manipulate fix rates, according to the NYDFS.
One method, known as “building ammo”, involved one trader building a large position in a currency and then unloading it just before or during the “fixing period” — a short period of time during which an average price is produced, at which large client transactions are executed — in an attempt to move the price favourably.
On January 6 2012, the head of Barclays’ FX spot desk in London attempted to manipulate the reference rate set by the European Central Bank by unloading €500m at the time of the fix. He wrote in the Cartel chatroom “I saved 500 for last second” and in another, “i had 500 to jam it.”
Another method was for traders at rival banks to agree to stay out of each other’s way at the time of the fix.
In one example, from June 2011, a Barclays trader told a counterpart at HSBC that another trader was building orders to execute at the fix contrary to HSBC’s orders. But the Barclays trader assisted HSBC by executing trades ahead of the fix to decrease the other trader’s orders. He wrote: “He paid me for 186 . . . so shioud have giot rid of main buyer for u.”
In another chat in December 2011, a Barclays trader told another at Citigroup: “If u bigger. He will step out of the way . . . We gonna help u.”
In the another example, traders in the US dollar-Brazilian real market colluded to manipulate it by agreeing to boycott local brokers to drive down competition. In October 2009, a trader at Royal Bank of Canada wrote: “everybody is in agreement in not accepting a local player as a broker?” A Barclays forex trader replied: “yes, the less competition the better.”
● Then there were numerous occasions, according to the NYDFS, from at least 2008 to 2014 when Barclays employees on the forex sales team engaged in misleading sales practices with clients by applying “hard mark-ups” to the prices that traders gave the sales team.
The level of mark-up was determined by calculating the best rate for Barclays that would not lead the client to question whether executing the transaction with the bank was a good idea.
One Barclays forex salesperson wrote in a chat to an employee at another bank in December 2009: “hard mark up is key . . . but i was taught early . . . u dont have clients . . . u dont make money . . . so dont be stupid.”
These mark-ups were a key source of revenue to Barclays, and generating them was made a high priority for sales managers. As a Barclays’ vice-president in New York (who later became co-head of UK FX hedge fund sales) wrote in a November 2010 chat: “markup is making sure you make the right decision on price . . . which is whats the worst price i can put on this where the customers decision to trade with me or give me future business doesn’t change . . . if you aint cheating, you aint trying.”
● In the FCA settlement, the regulator details an exchange between traders at Barclays and three other firms, refered to as X, Y and Z. Barclays was trying to trigger a client stop-loss order to buy £77m at a rate of 95 against another currency. If it could trigger the order, it would result in Barclays selling £77m to its client and the bank would profit it the average rate at which the bank had bought sterling in the market was below the rate at which the client had agreed to buy it.
In one exchange, firm X asked Barclays and firms Y and Z if they had any stop-loss orders — “u got...stops?” Barclays replied to say it had one for “80 quid” at a level of 95 and noted it was “primed like a coiled cobra...concentrating so hard...[as if] made of wax...[haven’t] even blinked”.
● While most of the settlements concerned manipulation of foreign exchange benchmarks, UBS inked a deal with the US Department of Justice in which it agreed to plead guilty to rigging Libor.
In once example, a broker commented to a UBS trader after a Yen Libor fix on June 10 2009: “mate yur getting bloody good at this libor game . . . think of me when yur on yur yacht in monaco wont yu”
In another conversation with a UBS trader after a Libor Yen fix on August 22 2008, a broker, identified as A1, commented about another broker, A2: “think [broker-A2] is your best broker in terms of value added :-)”.
The trader replied: “yeah . . . i reckon i owe him a lot more”, to which broker-A1 responded: “he’s ok with an annual champagne shipment, a few [drinking sessions] with [his supervisor] and a small bonus every now and then.”

However, in identifying the hallmarks of a scammed promotional product, webpage and associated promoter (Mike) Infinite Binary Profits manages to ticks all the boxes. I'm thinking that Mike from Infinite Binary Profits is really relying heavily on the concept that good news, bad news, makes the news (or is it noise). Having reviewed this product there really is nothing fresh or unique about the way this promotion is launched.

SCAM TACTICS: 1. Unsolicited/Junk Emails i.e. an unsolicited email is addressed to you specifically (or not) giving you some benefit 2. Ludicrous, sounds to good to be true statements/assumptions i.e. You will generate money until the end of time! 3. Cannot freely leave a website, repeated popup windows pressuring/bribing you to stay 4. Malicious software, also referred to as malware, spyware, installed on your PC. 5. Crazy/ludicrous promotional names e.g. "Infinite Binary Profits" 6. Limited Time Countdown time expiry widgets i.e. they reset when you revisit the site. 7. Offer that speak to you directly reveling your county/local 8. False Actors i.e. If there background setting is not congruent with their success If there background or the actors looks to good to be true, most likely a $5 fivver actor. i.e. https://www.fiverr.com/gigs/acto#page=1 9. If a site is littered with ads.
 
The list goes on, you get the general idea.
 
Remember you can greatly reduce the chances of being scammed on the Internet if you follow some simple precautions when researching any potential trading investment product or service. One method, known as “building ammo”, involved one trader building a large position in a currency and then unloading it just before or during the “fixing period” — a short period of time during which an average price is produced, at which large client transactions are executed — in an attempt to move the price favourably.
On January 6 2012, the head of Barclays’ FX spot desk in London attempted to manipulate the reference rate set by the European Central Bank by unloading €500m at the time of the fix. He wrote in the Cartel chatroom “I saved 500 for last second” and in another, “i had 500 to jam it.”
Another method was for traders at rival banks to agree to stay out of each other’s way at the time of the fix.
In one example, from June 2011, a Barclays trader told a counterpart at HSBC that another trader was building orders to execute at the fix contrary to HSBC’s orders. But the Barclays trader assisted HSBC by executing trades ahead of the fix to decrease the other trader’s orders. He wrote: “He paid me for 186 . . . so shioud have giot rid of main buyer for u.”
In another chat in December 2011, a Barclays trader told another at Citigroup: “If u bigger. He will step out of the way . . . We gonna help u.”
In the another example, traders in the US dollar-Brazilian real market colluded to manipulate it by agreeing to boycott local brokers to drive down competition. In October 2009, a trader at Royal Bank of Canada wrote: “everybody is in agreement in not accepting a local player as a broker?” A Barclays forex trader replied: “yes, the less competition the better.”
● Then there were numerous occasions, according to the NYDFS, from at least 2008 to 2014 when Barclays employees on the forex sales team engaged in misleading sales practices with clients by applying “hard mark-ups” to the prices that traders gave the sales team.
The level of mark-up was determined by calculating the best rate for Barclays that would not lead the client to question whether executing the transaction with the bank was a good idea.
One Barclays forex salesperson wrote in a chat to an employee at another bank in December 2009: “hard mark up is key . . . but i was taught early . . . u dont have clients . . . u dont make money . . . so dont be stupid.”
These mark-ups were a key source of revenue to Barclays, and generating them was made a high priority for sales managers. As a Barclays’ vice-president in New York (who later became co-head of UK FX hedge fund sales) wrote in a November 2010 chat: “markup is making sure you make the right decision on price . . . which is whats the worst price i can put on this where the customers decision to trade with me or give me future business doesn’t change . . . if you aint cheating, you aint trying.”
● In the FCA settlement, the regulator details an exchange between traders at Barclays and three other firms, refered to as X, Y and Z. Barclays was trying to trigger a client stop-loss order to buy £77m at a rate of 95 against another currency. If it could trigger the order, it would result in Barclays selling £77m to its client and the bank would profit it the average rate at which the bank had bought sterling in the market was below the rate at which the client had agreed to buy it.
In one exchange, firm X asked Barclays and firms Y and Z if they had any stop-loss orders — “u got...stops?” Barclays replied to say it had one for “80 quid” at a level of 95 and noted it was “primed like a coiled cobra...concentrating so hard...[as if] made of wax...[haven’t] even blinked”.

In once example, a broker commented to a UBS trader after a Yen Libor fix on June 10 2009: “mate yur getting bloody good at this libor game . . . think of me when yur on yur yacht in monaco wont yu”
In another conversation with a UBS trader after a Libor Yen fix on August 22 2008, a broker, identified as A1, commented about another broker, A2: “think [broker-A2] is your best broker in terms of value added :-)”.
The trader replied: “yeah . . . i reckon i owe him a lot more”, to which broker-A1 responded: “he’s ok with an annual champagne shipment, a few [drinking sessions] with [his supervisor] and a small bonus every now and then.”
